Vintage Cellars Wine Club Terms and Conditions

These are the Terms and Conditions of the Vintage Cellars Wine Club (Wine Club) provided by Liquorland (Australia) Pty Ltd ABN 82 007 512 414 trading as Vintage Cellars (effective from 7 December 2011).


1. Participation and Membership
1.1. Participation in the Wine Club is open to individuals aged 18 years or over for their own personal shopping and is offered at the discretion of Vintage Cellars (purchases deemed to be wholesale quantities for the purposes of resale are ineligible). Members are deemed to have accepted and be bound by these terms and conditions upon the first use of a membership card, on completing and returning a Membership Form, by completing an application form on-line or by joining via the Vintage Cellars Customer Service Centre (which ever happens first). Membership of the Wine Club is currently free but Vintage Cellars reserves the right to implement fees for new members from time to time.
1.2. On joining you will receive a Membership Card and a maximum of three Key Tags that can be given to members of your family residing with you to accrue points to your Wine Club Account. You are responsible for the use of the Key Tags. The users of the Key Tags are not able to make changes to your Member details.
1.3. You will be assigned a membership number when you become a Member. This number will be used by Vintage Cellars for identification purposes.
1.4. Membership Cards and Key Tags are not debit, credit or charge cards and remain the property of Vintage Cellars.
1.5. Your Membership may be refused by Vintage Cellars in its sole discretion, acting reasonably. This will be the case if individuals attempt to join the Wine Club to earn points on purchases not for household consumption.

2.Earning Wine Club Points
2.1. As a Member:
a) You (and any Additional Cardholder) earn Wine Club Points on each Eligible Transaction and
b) You (and any Additional Cardholder) may also earn Bonus Wine Club Points or Bonus Cellar Shares as a result of promotions or incentives offered by Vintage Cellars from time to time.
2.2. In order to earn Wine Club Points, You or the Additional Cardholder must:
a) present a Membership Card or Key Tag at the point of sale in store for swiping or scanning, prior to the completion of a transaction.
b) if the transaction takes place in a way which does not allow for the presentation of a Membership Card or Key Tag (eg on-line or by phone) or you do not have your Membership Card or Key Tag, You or the Additional Cardholder must provide evidence of your Wine Club Membership (eg. by providing your membership number) at the time of the transaction.
c) Wine Club Points can only be earned on purchases of wine. Wine Club Points cannot be earned on purchases of any other products such as beer, spirits, gift cards, tobacco and tobacco related products and any purchases of wine deemed by Vintage Cellars to be wholesale quantities for the purpose of resale. When Cellar Shares or discount vouchers are used in any transaction at Vintage Cellars, points are calculated and earned on the lower of two amounts: Wine spend (1), or balance to pay (2), after taking into account redeemed Cellar Shares. The dollar value of the lower of these two values equates to the number of Wine Club points earned. Refunds are not provided where the value of Cellar Shares redeemed exceeds the balance to pay.
2.3. If your Membership Card or Key Tag is not presented at the point of sale, or you cannot provide evidence of Wine Club membership (as the case may be), Vintage Cellars is not obliged to issue Wine Club Points in relation to that transaction but may do so at its discretion.
2.4. Wine Club Points are not property and have no cash or monetary value and cannot be transferred or assigned to any other person except in the case of 7.3.
2.5. Vintage Cellars will deduct any Wine Club Points from your Wine Club Account that have been credited in error and any Wine Club Points or Cellar Shares that relate to an Eligible Transaction which has been cancelled, reversed, or relates to a refund given.
2.6. You can see the balance of your Wine Club Account free of charge at any time by visiting www.vintagecellars.com.au/myaccount. Bonus Wine Club Points and Cellar Shares will be updated on your Wine Club Account as per the Terms and Conditions of that promotion. Vintage Cellars is not responsible for any time delay.
2.7. Wine Club Points are only recognised after they are successfully processed to your Wine Club Account.
2.8. Wine Club Points will be deducted if the Wine Club Points are deemed by Vintage Cellars to be earned fraudulently or where a transaction is not an Eligible Transaction.
2.9. Wine Club Points can only be earned by a Member or any Additional Cardholders for their own personal shopping.

3. Cellar Shares
3.1. Vintage Cellars may issue Cellar Shares to a Member with each edition of Cellar Press (this is published several times per year). The number of Cellar Shares issued to you will be calculated by reference to the balance of your Wine Club Account.
3.2. A Cellar Share is subject to the terms and conditions that appear on the Cellar Share.
3.3. Cellar Shares may only be redeemed by Members (not Additional Cardholders) in Vintage Cellars stores and by phoning the Vintage Cellars Customer Service Centre (Customer Service Centre). When redeeming Cellar Shares in store you need to present your Membership Card or Key Tag; or via the Customer Service Centre provide evidence of your membership. When redeeming Cellar Shares via the Customer Service Centre freight charges may apply.
3.4. A Cellar Share must be used by the expiry date stated on the Cellar Share.
3.5. A Cellar Share may not be redeemed for cash or exchanged for gift cards, tobacco and tobacco related products.
3.6. At Vintage Cellars’ discretion, lost or stolen Cellar Shares may be replaced on one occasion within the validity period of the Cellar Shares.
3.7. For every Cellar Share issued to you Vintage Cellars will debit the Minimum Wine Club Points, currently 500 points from your Wine Club Account.

4. Errors in Wine Club Points/Cellar Shares Tally and Lost or Stolen Membership Cards/Key Tags

4.1. Vintage Cellars may send you a Wine Club Points/Cellar Shares Tally with an edition of Cellar Press or you can visit www.vintagecellars.com.au/myccount. You should check your Wine Club Points/Cellar Shares Tally carefully and if you think there may be an error you should contact the Customer Service Centre within 60 days of receipt of your Wine Club Points/Cellar Shares Tally. Vintage Cellars may require you to confirm in writing, with supporting sales receipts or other evidence, the details of any error you believe may have occurred. Any matter relating to the earning or allocation of Wine Club Points or Cellar Shares will be resolved at Vintage Cellars’ sole and absolute discretion, acting reasonably.
4.2. You must notify the Customer Service Centre immediately if a Membership Card or Key Tag/s are lost or stolen. Vintage Cellars is not liable for any delay in replacing Membership Cards or Key Tags or for any unauthorised use of a Membership Card or Key Tags.

5. Wine Club Changes
5.1. Vintage Cellars reserves the right at all times to make any changes to the Wine Club Terms and Conditions, Membership Fees, rewards or Benefits offered at its sole discretion, including but not limited to changes to rules governing Wine Club Points/Cellar Shares Tally, method and timing of issuing Cellar Shares, Base Wine Club Points Rate, expiry of accrued Wine Club Points and awarding of Cellar Shares and changes to Benefits offered.
5.2. Vintage Cellars may vary these terms and conditions from time to time and will give you at least 30 days notice of any material changes to these Terms and Conditions.

6. Termination and Transfer
6.1. Vintage Cellars reserves the right to suspend or terminate your Wine Club membership and may cancel all or any Wine Club Points or Cellar Shares that have been issued to you, if Vintage Cellars reasonably believes that:
a) You have, or an Additional Cardholder has, breached these Terms and Conditions; or
b) a person has engaged or may engage in fraudulent conduct, or conduct is suspected to be fraudulent, in relation to your Vintage Cellar Wine Club Account or in a claim for allocation of Wine Club Points and Cellar Shares to You.
6.2. You may terminate your Wine Club membership at any time by contacting the Customer Service Centre. On receiving a notice of termination from you, your Wine Club Account will be recorded on the Vintage Cellars database as closed and you will cease to earn Wine Club Points or receive any other Benefits, but any outstanding Cellar Shares will be issued to you.
6.3. On terminating your Wine Club membership you may request the balance of your Wine Club Points to be transferred to another Member. You must give written instructions to Vintage Cellars (including the other person’s membership details) before Vintage Cellars will make any such transfer.

7. General Information
7.1. You are solely responsible for any government tax, duty or other charge imposed by law in any country in respect of the Wine Club Program, your participation in the Wine Club, any Wine Club Points earned, Cellar Shares issued or any other transaction within the Wine Club.
7.2. Any failure or delay by Vintage Cellars in exercising its rights under these Terms and Conditions does not constitute a waiver of those rights by Vintage Cellars.
7.3. Vintage Cellars reserves the right to terminate the Wine Club at any time by giving you at least 30 days prior written notice. If Vintage Cellars terminates the Wine Club and you are entitled to the issue of a Cellar Share under these Terms and Conditions, that Cellar Share will be issued after the day of termination. If Vintage Cellars terminates the Wine Club and the balance of your Wine Club Account on the day of termination (after any Cellar Shares to which you may be entitled have been issued) is less than the Minimum Wine Club Points, the accrued Wine Club Points will be cancelled.
7.4. Except as provided by law, Vintage Cellars does not accept any liability whatsoever, including for negligent acts and omissions, with respect to:
a) the breach of any of these Terms and Conditions or any term implied by law (including statute) by any person other than Vintage Cellars;
b) Cellar Shares or any other reward or Benefit;
c) any death or injury or consequential loss or damage arising from the supply of a reward;
d) the loss, theft or destruction of Cellar Shares or any other Benefit; and
e) any failure, delay or inability to provide a Cellar Share/s, Membership Card/Key Tags or other Benefit to you caused by circumstances beyond our control, including strikes or industrial disputes, acts of God, flood, weather, war or civil disturbance.
7.5. Vintage Cellars may give you notice by advertisement in a newspaper circulating throughout Australia; online; in writing; or in a Wine Club Points/Cellar Share Tally.
7.6. You must advise Vintage Cellars of any change of name, address, or other details as soon as the change occurs and supply Vintage Cellars with written proof if required. Vintage Cellars is not responsible for any failure by You to notify Vintage Cellars of the change that may result in the loss of Cellar Shares. Changes to address can be made directly on the website at vintagecellars.com.au or by contacting the Customer Service Centre.

8. Vintage Cellars Privacy Notice
8.1. Our full Privacy Statement in relation to the Wine Club can be found at vintagecellars.com.au - Privacy and Security.
8.2. From time to time Vintage Cellars may send you offers from partners or affiliates of Vintage Cellars.

9. Definitions
In these Terms and Conditions:
"Additional Cardholder" means a person who resides with you and is nominated by you to be issued with Key Tag.
"Base Wine Club Points Rate" means the number of Wine Club Points applied to your Wine Club account per 1 dollar spent on an Eligible Transaction. This is currently 1 Cellar Point for each dollar spent on wine purchases only and may vary as advised to you by Vintage Cellars from time to time. When Cellar Shares or discount vouchers are used in any transaction at Vintage Cellars, these Cellar Shares or discount vouchers are applied to your Wine purchases first.
"Benefits" means the facilities, services, products, discounts, offers, activities and events or arrangements offered or available to Members from time to time.
"Bonus Wine Club Points" means the extra Wine Club Points earned as a result of promotions or incentives offered from time to time.
Cellar Share” means the voucher which we issue to a Member when the Minimum Wine Club Points are reached. This voucher can be used by You to redeem for selected products offered by Vintage Cellars or use for a discount to a defined value when you purchase any wine, beer or spirits from Vintage Cellars.
"Bonus Cellar Share" means the extra Cellar Share/s earned as a result of promotions or incentives offered from time to time. Currently an extra 500 Wine Club Points will be applied to your account when You qualify for a promotion that offers a Bonus Cellar Share.
"Wine Club Points" means the points earned on Eligible Transactions by You in accordance with these Terms and Conditions.
"Dollar or $" means Australian dollars.
"Eligible Transaction" means any purchase of wine from a Vintage Cellars store, via vintagecellars.com.au or through the Customer Service Centre for normal household consumption, and does not include purchases of any other products such as beer, spirits, gift cards, tobacco and tobacco related products, and any purchases of wine deemed by Vintage Cellars to be wholesale quantities for the purpose of resale.
"Key Tag" means a smaller card issued on your Wine Club Account to an Additional Cardholder
"Member" means you as a member of the Wine Club.
"Membership Card" means a card issued by Vintage Cellars to You. This card will have your membership number printed on it and needs to be presented when You make a purchase in store; for purchases made via vintagecellars.com.au or via the Customer Service Centre you will need to quote your membership number.
Membership Fees” means the fees Vintage Cellars may apply for Wine Club membership from time to time.
"Membership Form" means the form required to be completed by you to become a Member.
Minimum Wine Club Points” means the number of points needed for you to be awarded a Cellar Share. This is currently 500 points.
"Terms and Conditions" means these Terms and Conditions, as amended from time to time.
"Wine Club" means the Wine Club operated by Vintage Cellars in which Members earn Wine Club Points, receive Cellar Shares and other Benefits.
"Wine Club Account" means the account managed by Vintage Cellars for members which details the number of Wine Club Points and Cellar Shares that have been allocated to you in accordance with these Terms and Conditions.
"You" or "your" is a reference to the Member in whose name the Wine Club Account is held.
